Boulder Development Ltd t/a SuperFOIL Insulation – Terms and Conditions of Sale

These Terms and Conditions apply to all sales of products by Boulder Development Ltd trading as SuperFOIL Insulation (“we”, “us”, “our”) to any customer (“you”, “your”), unless otherwise agreed in writing by a company director. By placing an order with us, you agree to be bound by these Terms and Conditions.

1. Supply-Only Basis

1.1. SuperFOIL is a manufacturer and supplier of insulation products. All products are sold strictly on a supply-only basis.

1.2. We do not offer installation services and accept no responsibility for the installation, fitting, or performance of the product once installed.

1.3. It is your responsibility to ensure that products are installed in accordance with relevant regulations, standards, and manufacturer guidance.

1.4. Failure to follow our written installation guidelines or the use of non-approved accessories or adhesives may void the guarantee and affect the performance of the product.

1.5. Where our products are purchased through third-party distributors or resellers, such parties are not authorised agents of SuperFOIL and have no authority to bind us contractually or provide any warranties beyond those set out in these Terms.

2. Orders and Acceptance

2.1. All orders are subject to acceptance by us.

2.2. We reserve the right to decline or cancel any order at our discretion.

2.3. No order is binding on us until we confirm it in writing or dispatch the goods.

3. Pricing and Payment

3.1. Prices are exclusive of VAT unless stated otherwise.

3.2. Full payment must be made in accordance with the agreed terms. Late payments may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

3.3. We reserve the right to adjust prices before acceptance to reflect changes in raw material costs or other market factors.

4. Delivery

4.1. Delivery times are estimated and not guaranteed.

4.2. We will not be liable for any losses, costs, or damages arising from delayed delivery.

4.3. Risk in the goods passes to you on delivery. Title to the goods remains with us until full payment is received.

4.4. Until full payment has been received, we retain legal ownership of the goods. If you become subject to any insolvency event, we reserve the right to enter your premises to recover any goods for which payment has not been made in full. You shall store the goods separately and ensure they remain identifiable as our property until title has transferred.

4.5. Where goods are delivered by a third-party carrier, risk transfers to the buyer upon collection by the carrier. We are not responsible for delays, loss or damage once the goods leave our premises.

5. Inspection and Claims

5.1. You must inspect the goods immediately upon receipt and notify us in writing of any defects, damage, or shortfall within 2 working days.

5.2. If no notice is received within that time, the goods are deemed to be accepted.

6. Returns and Cancellations

6.1. No goods may be returned without our prior written consent.

6.2. Returned goods must be unused, in original packaging, and fit for resale. A restocking charge may apply.

6.3. Special order or bespoke items are non-returnable.

6.4. Order amendments or cancellations must be submitted in writing. We reserve the right to charge for any costs incurred as a result of changes or cancellations after order confirmation.

6.5. Original delivery or shipping costs are non-refundable. Any refund provided under these Terms will exclude the initial delivery charges incurred unless otherwise required by law or agreed in writingIf you request a password reset, your IP address will be included in the reset email.

7. Warranties and Liability

7.1. All SuperFOIL products are covered by a 25-year guarantee against material defects from the date of delivery, provided they are stored, handled, and installed in accordance with our published instructions and relevant regulations.

7.2. A copy of our full guarantee terms is available upon request.

7.3. We warrant that our products conform to their published specifications at the time of delivery and are subject to standard manufacturing tolerances.

7.4. This guarantee does not cover issues resulting from incorrect installation, misuse, or modification of the product.

7.5. Except as expressly stated above, all other warranties, whether express or implied (including fitness for purpose), are excluded to the fullest extent permitted by law.

7.6. Our total liability, whether in contract, tort or otherwise, shall not exceed the purchase price of the goods supplied.

7.7. We shall not be liable for any indirect or consequential losses, including, without limitation, loss of profits, business interruption, or third-party claims.

7.8. It is your responsibility to determine whether our products are suitable for your intended purpose. We disclaim any liability arising from use in applications not expressly recommended in our published materials.

8. Force Majeure

8.1. We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to strikes, supply chain disruption, or acts of nature.

9. Intellectual Property

9.1. All product designs, trademarks, and materials remain the intellectual property of Boulder Development Ltd t/a SuperFOIL Insulation and may not be copied or used without our permission.

10. Governing Law and Jurisdiction

10.1. These Terms shall be governed by and construed in accordance with the laws of England and Wales.

10.2. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

10.3. In the event of a dispute, both parties agree to attempt resolution through mediation before commencing legal proceedings.

11. Technical Advice

11.1. Any technical information or advice provided by SuperFOIL is for guidance only. It is the customer’s responsibility to determine the suitability of the product for their specific application. No liability is accepted for reliance on verbal or informal guidance unless confirmed in writing.

12. Data Protection

12.1. We process personal data in accordance with our Privacy Policy and the UK GDPR. By placing an order, you consent to the use of your information for the purposes of order fulfilment, account management, and customer service. Our full Privacy Policy is available upon request.

13. Regulatory Compliance

13.1. It is the responsibility of the customer to ensure that the installation and use of the products comply with all applicable local building regulations, fire safety standards, and statutory requirements.

13.2. We recommend that you ensure appropriate insurance cover is in place for the handling, installation, and end use of the products.

14. Complaints

14.1. We take all complaints seriously and aim to resolve any issues promptly and fairly.

14.2. Any complaints relating to product defects, delivery, or customer service should be submitted in writing within 14 days of the issue arising. Complaints can be sent via email to our customer service team at [email protected] or in writing to our registered office address.

14.3. We may request supporting evidence, such as photographs, order numbers, or batch codes, to investigate the complaint thoroughly.

14.4. Submission of a complaint does not suspend the obligation to pay for goods received.

14.5. Where a complaint is upheld, we will offer an appropriate resolution which may include replacement goods, refund, or other remedy at our discretion.

15. Product Specification and Tolerances

15.1. All product specifications, dimensions, and technical data are subject to standard manufacturing tolerances. Minor deviations shall not constitute grounds for rejection or claims.

16. Packaging and Palletisation

16.1. Packaging and pallets are non-returnable unless agreed otherwise in writing. Requests for special packaging may incur additional charges.

17. Entire Agreement

17.1. These Terms and Conditions represent the entire agreement between the parties and supersede any prior representations, agreements, or communications, whether oral or written.

17.2. These Terms are intended for business-to-business transactions. Where products are sold to consumers, additional rights may apply under consumer protection laws.

18. Samples and Descriptions

18.1. Any samples, drawings, descriptive matter or advertising issued by us are for the sole purpose of giving an approximate idea of the products described. They do not form part of the contract or have any contractual force.

19. Environmental Responsibility

19.1. We are committed to sustainable manufacturing practices. Customers are responsible for disposing of products and packaging in accordance with local environmental regulations.

19.2. Environmental claims are provided based on current manufacturing processes and available data. These are for informational purposes only and do not constitute a performance guarantee unless explicitly stated.

20. Export Sales

20.1. Where goods are sold for export, it is your responsibility to ensure compliance with import laws and to pay all applicable customs duties, taxes, and charges. We are not liable for delays or costs arising from customs clearance.

20.2. Nothing in these Terms shall exclude any mandatory legal rights or remedies afforded by local laws where such rights cannot be waived by contract.

21. Health and Safety

21.1. It is the responsibility of the customer to ensure all necessary safety procedures, site risk assessments, and regulations are followed during handling, cutting, or installation of the products.
